1. Preface

Welcome to EventsAdmin. EventsAdmin is a service provided and operated by Noetik and enables individuals or organizations who are organizing an event to sell tickets or registrations, to collect and manage payments with respect to the sale of tickets/registrations or collect money from donations by users who want to attend their events.  EventsAdmin also enables organizers of Academic conferences to collect and manage scientific papers and presentations from users who want to present their academic work. Finally EventsAdmin gives the ability to Event Organizers to delegate tasks to other users such as accountants, assistants, scientific committees, paper reviewers, etc. in order to perform certain operations.

Noetik is the distictive title of Roundup Solutions SMPC

The following pages contain our Terms of Service, which govern all use of our Services.

2. Definitions

The terms “Terms of Service”, “Terms of Services” or the term “TOS”, which is handled as a singular noun, refer to this document.

The terms “we”, “our”, “us”, “EventsAdmin”, “EventsAdmin.com” , "Roundup Solutions SMPC", "Noetik" or the "Company" mean or refer interchangeably to Roundup Solutions SMPC.

The term “SITE” as well as its plural form refers to EventsAdmin websites and domains including all pages, sections and subdomains under the main domains eventsadmin.com.

The terms “SERVICE” as well as its plural form, refer to (A) the use of the SITE for any reason and (B) to all services provided by EventsAdmin through the SITE or otherwise.

The terms "Event Organizer", “Conference Organizer”,   “Meeting Planner “, "Organizer" or "Seller" as well as their plural forms mean or refer interchangeably to the person or entity who is organizing an event and uses EventsAdmin website and services.

The terms “Buyer”, “Attendee” or “Participant”, as well as their plural forms, mean or refer interchangeably to any person(s) registering in order to attend any event or conference listed by an Event Organizer or in order to acquire tickets on behalf of other person(s) or register other person(s) for participation.

The terms “Author”, “Co-Author”, “Presenter” or “Contribution Submitter” as well as their plural forms mean or refer interchangeably to any person(s) registering in order to submit (or manage an already submitted) academic paper or any related work such as presentations or paper abstracts.

The terms “Organizer Delegate”, “Delegate” or “Organizer Assistant”, as well as their plural forms, mean or refer interchangeably to any user to which Event Organizers give access to Services in order to perform certain tasks with respect to an event.

The term “Registered User”, as well as its plural form, refers to any user who uses the SERVICES as Event Organizer, Buyer, Author or Delegate.

The term “Account” as well as its plural form refers to any and all information of any nature that EventsAdmin maintains with respect to a “Registered User”.

All references to the words “you” and /or “User(s)” mean any person who accesses the SITE either as Registered User or as an anonymous user;

The term “Content” refers to articles, data, graphic displays, pictures, articles, advertising, and all information, materials, and services displayed in this site.

3. Acceptance of terms

By using the EventsAdmin SITE and/or SERVICES, you are agreeing to be bound by the following terms and conditions. Any new features or tools which are added to the current SERVICES shall be also subject to the Terms of Service. You can review the most current version of the Terms of Service at any time here. EventsAdmin reserves the right to update and change the Terms of Service by posting updates and changes to the EventsAdmin website. You are advised to check the Terms of Service from time to time for any updates or changes that may impact you.

IF YOU DO NOT AGREE TO THIS TERMS OF SERVICE YOU ARE ADVISED TO LEAVE THIS WEB SITE NOW, AS FURTHER USE WILL AUTOMATICALLY BOUND YOU TO THESE TERMS AND CONDITIONS.

3.1 Modification

Occasionally we may, in our sole discretion, make changes to these Terms of Service. We announce important changes to our TOS upon logging in to your EventsAdmin account. The current TOS are always available at EventsAdmin webpage at the following URL: https://www.eventsadmin.com/legal/terms-of-service/. By continuing to use the Service after those changes are made, you are expressing and acknowledging your acceptance of the changes.

4. Use of services

EventsAdmin Services are intended to be used by registered users which can have one or more of the aforementioned roles (Event Organizer, Attendee, Author and/or Presenter, Organizer Delegate). The following rights are granted to the extent permitted under all applicable foreign and domestic laws and regulations and are applied cumulative for registered users with more than one role.

Notwithstanding the foregoing, no one shall not, and shall not permit anyone else to, directly or indirectly:

  1. copy or create derivatives of any part of the Services or Site;
  2. use the Services for any activity or by any means that are not described in the following Use of Services;
  3. remove or alter any proprietary notices or labels on or in the Services or Site;
  4. engage in any activity that interferes with or disrupts the Services;
  5. or engage in any fraudulent activity or activity that facilitates fraud.

4.1 Use of services for Event Organizers

EventsAdmin hereby grants Event Organizers a non-exclusive, non-transferable right to access and use the Services solely for the purpose of creating an event page so that:

  1. Attendees can buy tickets or register for the event
  2. Attendees can pay for their tickets or registration
  3. Attendees can submit a donation
  4. Anonymous users or registered users can browse
  5. Authors and Presenters can register in order to submit a scientific paper (available only to Academia edition)
  6. Organizer delegates can perform the tasks assigned to them by the Event Organizer or by other delegates authorized to do so by the Event Organizer.
  7. The Event Organizer or delegates authorized by the Event Organizer can promote the event and manage registrations, payments and paper submissions.

4.2 Use of services for Attendees

EventsAdmin hereby grants Attendees a non-exclusive, non-transferable right to access and use the Services solely for the purpose of registering, purchasing tickets, submitting donations and interacting with an event that has been created by an Event Organizer.

4.3 Use of services for Authors and Presenters

EventsAdmin hereby grants Authors and Presenters a non-exclusive, non-transferable right to access and use the Services solely for the purposes of submitting and managing their work (papers, abstracts, presentations, etc.) for an event that has been created by an Event Organizer.

4.4 Use of services for Organizer Delegates

EventsAdmin hereby grants Organizer Delegates a non-exclusive, non-transferable right to access and use the Services solely for the purpose of performing tasks that have been assigned to them by the Event Organizer. The tasks that an Event Organizer can assign to Organizer Delegates are governed and limited by the Use of Services for Event Organizers and Organizer Delegates are mutually responsible for any terms violations.

 

5. Payments

Through the EventsAdmin SITE payments are transacted with respect to:

  1. The purchase of tickets or registrations or the submission of donations by Attendees (“ATTENDEES PAYMENTS”)
  2. The purchase of an EventsAdmin license or the payment of EventsAdmin Services Fees by Event Organizers (“ORGANIZERS PAYMENTS”)

5.1 ATTENDEES PAYMENTS

EventsAdmin enables Event Organizers to create an event webpage and collect payments with respect to the sale of tickets or registrations or the solicitation of donations from users who wish to attend their event (“Attendees”). Event Organizers are free to choose whether payments will be transacted (i) through EventsAdmin payment processing gateway or (ii) through the Event Organizer’s payment processing gateway.

5.1.1 Using EventsAdmin payment processing gateway

All payments through EventsAdmin payment processing gateway are processed through EveryPay (https://www.everypay.gr/en) or Paypal or other third party payment service methods. When this option is used, Event Organizer acknowledges and agrees that:

  1. EventsAdmin collects all event registration fees on behalf of the Event Organizer and after deducting (i) the EventsAdmin Service Fee and (ii) any extra costs that may occur due to refunds, disputed charges, chargebacks and/or any other possible discrepancies, the balance is passed along to the Event Organizer. Unless otherwise agreed in written, the balance is passed along to the Event Organizer within six (6) business days after the event end date.
  2. At any time EventsAdmin reserves the right to withhold funds as EventsAdmin determines to be necessary in order to process and settle of refunds, chargebacks, disputed charges, customer complaints and/or other discrepancies.
  3. No funds shall be transferred to the Event Organizer from EventsAdmin with respect to cancelled events.
  4. All payments for an event are payable in the event’s selected currency which can be one of the EventsAdmin accepted currencies and which is selected by the Event Organizer during the initial setup of the event.

 

5.1.1.1 Refunds

It is the responsibility of the Event Organizer to communicate its refund policy to Attendees and to issue refunds to Attendees via the Site. The Event Organizer shall ensure that its refund policy is consistent with the terms of this TOS and the payment and refund mechanics of the Site. The Site permits an Organizer to issue refunds to Attendees provided the refund is issued by the Organizer before ninety-six (96) hours after the end date of an event and within three (3) months after the transaction date for the underlying ticket purchase. Refunds issued following such a period will not be processed through the Site. 

All communications or disputes regarding refunds are between the Attendee and EventsAdmin. In case of non-fulfillment of the order or detention of the Buyer/Participant, non-delivery or supply or improper and / or timely delivery or supply of products and / or services, or the existence of defects or lack of agreed properties of the above, EventsAdmin undertakes the responsibility for redress of the Buyer/Participant.

Event Organizer is responsible for the completeness, truth and accuracy of the information it provides to the consumer public, but also about the quality, features and properties of the products and services it offers. The Event Organizer hereby agrees to fully indemnify EventsAdmin and its affiliates for refunds, errors in issuing refunds, or lack of refunds in connection with the use of the EventsAdmin payment processing gateway. Any dispute or dispute that may arise will be resolved exclusively between EventsAdmin and the Event Organizer.

Notwithstanding the foregoing EventsAdmin reserves the right to force a refund of any or all tickets at any time should EventsAdmin receives formal complaints from a substantial number (as determined by EventsAdmin in its sole discretion) of Attendees with respect to the applicable event or another event held by the Event Organizer, or if EventsAdmin determines in its sole discretion that the Event Organizer has engaged in any fraudulent activity or has made any misrepresentations.

Attendees are eligible to cancel their registration and request a refund for the full amount of their purchase within at least fifteen (15) days even if the cancellation and refund policy communicated by the Event Organizer states otherwise.

5.1.1.2 Credit Card Chargebacks.

Any credit card chargebacks initiated by an Attendee for any reason with respect to an event shall be charged back to the Event Organizer of such an event. All communications and disputes regarding chargebacks are between the Event Organizer and the Attendee, and EventsAdmin will not be responsible or liable in any way for them. The Event Organizer hereby agrees to fully indemnify EventsAdmin and its affiliates for chargebacks issued in the course of the use of the EventsAdmin payment processing gateway.

5.1.2 Using Event Organizer’s payment processing gateway

Event Organizers are able to connect their own Paypal, Paycenter by Piraeus Bank or Viva Payments payment processing gateway 

When the Event Organizer chooses all payments to be transacted through its own payment gateway, all amounts from the sales of tickets/ registration and donations are transferred directly to its balance. By choosing this option, the Event Organizer agrees to:

(a)    Pay EventsAdmin all applicable EventsAdmin Service Fees which are described in detail for each EventsAdmin edition at www.eventsadmin.com/pricing

(b)   Accept the responsibility for providing refunds to Attendees at its own discretion. EventsAdmin will not be responsible or liable for, and the Event Organizer hereby agrees to fully indemnify EventsAdmin and its affiliates for refunds, errors in issuing refunds, or lack of refunds in connection with the use of its own payment processing gateway.

 

5.2 ORGANIZERS PAYMENTS

All payments from Event Organizers to EventsAdmin for purchasing an EventsAdmin license or with respect to the EventsAdmin Services Fees associated with an event where the Event Organizer’s payment processing gateway was used (see 5.1.2) are processed through Paypal, EveryPay or other third party payment service methods.

5.2.1 Refunds

Event Organizers are eligible to cancel their registration and request a refund for the full amount of their purchase within  ten (10) days from the date and time of their purchase when one of the following conditions is fulfilled:

  1. they have not published an event; OR
  2. they have published an event and no registrations or ticket sales or donations or paper submissions have been realized; OR
  3. they have published an event which has not been completed or is not about to start within the next 48 hours and they wish to cancel their registration because essential features advertised on the EventsAdmin Site are not available or are poorly implemented.

Refunds are not available for charges regarding credit card processing fees or EventsAdmin Service Fees.

Event Organizers who want to request a refund are kindly requested to submit their inquiry via email at info@eventsadmin.com using the email address that they used during their registration. If the reason of the inquiry is the lack of features advertised on the EventsAdmin Site or the poor implementation of such features it should be clearly stated in the inquiry.

5.3 SECURE TRANSACTIONS

5.3.1 Secure Transactions through EveryPay

Recognizing the importance of electronic payment security, EveryPay is a licensed Payment Institution by the Bank of Greece (Decision No. 280/3 / 23-7-2018 GG B 3010 / 25-7-2018), and manages securely card payment transactions, in accordance with the regulatory framework of the card transaction security management standard. Everypay is certified in accordance with the PCI DSS compliance standards. All Everypay services are made through secure connections with 256bit SSL certificates. EveryPay also supports the ability to use the 3D Secure service, an additional security token for VISA & MasterCard. The Payer then has to enter his personal secret code to complete the transaction successfully.

5.3.2 Secure Transactions through Viva Payments

Viva Payment Services Single Member S.A. (Viva Payments) is an electronic-money institution licensed by the Bank of Greece for the provision of payment services within the EEA and the UK. With PCI DSS Level 1 compliance status, Viva Wallet meets payment security standards and helps protect customer data. As a fully compliant PCI DSS Level 1 Service Provider and a principal member and licensed acquirer of Visa and MasterCard, Viva Wallet adhere to the card schemes’ operating regulations. Viva Wallet is also subject to yearly audits by a third-party PCI Qualified Security Assessor, Visa, MasterCard, and the banks it partners with.

 

6. Billing

The Event Organizer may select one of the pricing plans described at www.eventsadmin.com/pricing when placing their order for the Services. Depending on the EventsAdmin edition that the Event Organizer will choose, there are free-of-charge plans and commission based plans with or without an annual service fee.

6.1 Annual licenses renewals

Annual licenses for the EventsAdmin Corporate and Academia editions should be renewed at least one day before the expiration of the license period in order to avoid Services suspension. During services suspension all (if any) event webpages are deactivated and no Attendees interaction is possible. Suspended services can be resumed at any time by the purchase of a new annual license by the Event Organizer.

Annual licenses that are renewed before their expiration are extended for a year after the expiry date of the license before the renewal. New annual licenses or annual licenses that are renewed after their expiration are extended for a year after the date of their purchase.

For Services suspended for over two years, EventsAdmin reserves the right, in its sole discretion and without limiting its other rights and remedies, to terminate the Event Organizer's registration for the Services and erase any Content of the Event Organizer’s.

6.2 Past-Due payments

Payments that are past due will be assessed a late fee of 2% per month. The customer shall be responsible for all disbursements and costs, including attorney’s fees incurred by EventsAdmin in the course of collecting past due payments or enforcing its rights provided by these Terms and Conditions.

7. Taxes

The Event Organizer is solely responsible for determining, communicating and collecting any Taxes that apply to the ticket and/or registration and/or product sales and/or donations accepted through  their event webpage and it is their obligation to remit and report the correct amounts of these Taxes to the applicable governmental authorities.

Even if EventsAdmin provides tax tools through the Services - for the convenience of the Event Organizer – it does not represent or warrant that any such tools will meet all tax requirements that may apply to an Event. If an Event Organizer is not sure whether the tax tools provided through the Services meet the tax requirements of his Event, it is his obligation to stop using the Services.

In the event that a governmental authority (foreign or domestic) requires EventsAdmin to pay any taxes or fines or penalties related to the Use of Services by the Event Organizer, the Event Organizer agrees to indemnify and reimburse EventsAdmin for such taxes and/or expenses.

All EventsAdmin Service Fees are liable to Value Added Tax unless the Event Organizer is eligible for VAT exemption according to the Greek and EU regulation.

8. Withholding

In the event that EventsAdmin or/and a governmental authority (foreign or domestic) suspect or determine that any amounts have been generated in a fraudulent manner or in violation of this TOS or in violation of any applicable laws and/or regulations (foreign or domestic), EventsAdmin reserves the right to withhold the payment of any amounts owed to the Event Organizer and suspend any Services provided to the Event Organizer. Such withholding may be temporary or permanent.

9. Account Terms

To be a Registered User of the SERVICES:

(a)    You must be 18 years or older.

(b)   You must provide your full legal name, current address, a valid email address, and any other information needed in order to complete the signup process.

(c)    You are responsible for keeping your password secure. EventsAdmin cannot and will not be liable for any loss or damage from your failure to maintain the security of your account and password.

(d)   You may not use the SERVICES for any illegal or unauthorized purpose nor may you, in the use of the SERVICE, violate any laws in your jurisdiction (including but not limited to copyright laws) as well as the laws of Greece and European Union.

(e)   You are responsible for all activity and content (data, graphics, photos, links) that is uploaded under your EventsAdmin account.

(f)     You must not transmit any worms or viruses or any code of a destructive nature.

(g)    A breach or violation of any of the Account Terms as determined in the sole discretion of EventsAdmin will result in an immediate suspension or termination of your services.

10. Content

10.1 Site Content

You agree that all Content, contained in or made available by the SITE or via the SERVICES is protected by copyrights or other intellectual property and other proprietary rights and laws.

EventsAdmin as the owner of the Site Content and/or the licensee (as the case may be) of the Site Content, has the rights, title and interest in all of the content, text, graphics, databases, designs, software, icons and hyperlinks on the SITE and SERVICES. As such our intellectual property is protected from infringement by domestic and international treaties and legislation.

10.2 Organizer’s Content

(a)    We do not claim any intellectual property rights over the material the Organizer provides to the EventsAdmin service. All material the Organizer or Organizer Delegates upload remains to Organizer’s ownership. If an Organizer wants to remove their content he/she can do so by deleting its account.

(b)   By uploading images and event description content to the EventsAdmin SITE, the Organizer agrees to allow other internet users to view them and agrees to allow EventsAdmin to display and store them, and agrees that EventsAdmin can, at any time, review all the content submitted by the Organizer to its SERVICE.

(c)    The Organizer retains ownership over all content that the Organizer or the Organizer Delegates submit to EventsAdmin however, by publishing an event, the Organizer agrees to allow others to view their content.

(d)   We will not disclose the Organizer’s confidential information to third parties, except as required in the course of providing our services. Confidential information includes any material or information provided by the Organizer to us which is not publicly known. Confidential information does not include information that: (i) was in the public domain at the time we received it, (ii) comes into the public domain after we received it through no fault of ours, (iii) we received from someone other than the Organizer without breach of our or their confidentiality obligations, or (iv) we are required by law to disclose.

10.3 Author’s Content

(a)    We do not claim any intellectual property rights over the material the Authors provide to the EventsAdmin service. All material the Authors upload or make available to EventsAdmin by any other way remains to their ownership or to their licensors.

(b)   We make all material that the Authors provide available to the Event Organizer. Event Organizers and Authors are mutually responsible for determining, communicating and agreeing how the Author’s content will be treated before, during and after an event inside or outside the context of an event.

(c)    We will not make available Author’s content to third parties, except as required in the course of providing our services.

(d)   In the event that a governmental or other authority (foreign or domestic) requires EventsAdmin to pay any fines or penalties related to information disclosure, industry secrets leaking, patents violations and/or other discrepancies both the Event Organizers and the Authors agree to indemnify and reimburse EventsAdmin for any induced damages and/or expenses.

11. Sub-domains

EventsAdmin provides the Event Organizers with the right to use sub-domains of the form YourPrefix.eventsadmin.com. EventsAdmin retains the sole proprietorship of such sub-domains and has the right to terminate this right of the Event Organizer to use the sub-domain at any time for any reason or no reason, with or without notice.

12. EventsAdmin Rights

(a)    We reserve the right to modify or terminate the Service for any reason, without notice at any time.

(b)   We reserve the right to refuse service to anyone for any reason at any time.

(c)    We may, but have no obligation to, remove Content and Accounts containing Content that we determine in our sole discretion is unlawful, offensive, threatening, libelous, defamatory, pornographic, obscene or otherwise objectionable or violates any party’s intellectual property or these Terms of Service.

(d)   Verbal or written abuse of any kind (including threats of abuse or retribution) of any EventsAdmin customer, EventsAdmin employee, member, or officer will result in immediate account termination.

(e)   EventsAdmin does not pre-screen Content and it is in their sole discretion to refuse or remove any Content that is available via the Service.

(f)     We reserve the right to provide our services to your competitors and make no promise of exclusivity in any particular market segment. You further acknowledge and agree that EventsAdmin employees and contractors may also be EventsAdmin customers/event organizers and that they may compete with you, although they may not use your confidential information in doing so.

13. External Links

Links to third party web sites may be displayed to the SITE or via the SERVICES. These links are provided solely as a convenience to you and not as an endorsement by EventsAdmin of the contents on such third-party Web sites. EventsAdmin is not responsible for the content of linked third-party sites and does not make any representations regarding the content or accuracy of materials on such third party Websites. If you decide to access linked third party Websites, you do so at your own risk.

14. Limitation of Liability

(a)    You expressly understand and agree that EventsAdmin shall not be liable for any direct, indirect, incidental, special, consequential or exemplary damages, including but not limited to, damages for loss of profits, goodwill, use, data or other intangible losses resulting from the use of or inability to use the service.

(b)   In no event shall EventsAdmin or our suppliers be liable for lost profits or any special, incidental or consequential damages arising out of or in connection with our site, our services or this agreement (however arising including negligence). You agree to indemnify and hold us and (as applicable) our partners, subsidiaries, affiliates, EventsAdmin partners, officers, directors, agents, and employees, harmless from any claim or demand, including reasonable attorneys’ fees, made by any third party due to or arising out of your breach of this Agreement or the documents it incorporates by reference, or your violation of any law or the rights of a third party.

(c)    Your use of the Service is at your sole risk. The Service is provided on an ”as is“ and ”as available“ basis without any warranty or condition, express, implied or statutory.

(d)   EventsAdmin does not warrant that the service will be uninterrupted, timely, secure, or error-free.

(e)   EventsAdmin does not warrant that the results that may be obtained from the use of the service will be accurate or reliable.

(f)     EventsAdmin does not warrant that the quality of any products, services, information, or other material purchased or obtained by you through the Service will meet your expectations, or that any errors in the Service will be corrected.

15. Waiver

The failure of EventsAdmin to exercise or enforce any right or provision of the Terms of Service shall not constitute a waiver of such right or provision. The Terms of Service constitutes the entire agreement between you and EventsAdmin and govern your use of the Service, superseding any prior agreements between you and EventsAdmin (including, but not limited to, any prior versions of the Terms of Service).

16. Notices

Notices to you may be made via either email or regular mail to the address in EventsAdmin's records. The Services may also provide notices of changes to this TOS or other matters by displaying notices or links to notices to you generally on the Services. Any notice from you to us shall be sent in writing to our mailing address at:

17. Trademarks

All trademarks, trade names logos, brand names and service marks of EventsAdmin, whether registered or unregistered, are the property of EventsAdmin and are protected by the Greek, EU and international trademark laws. These trademarks include, without limitation, EVENTSADMIN, EVENTSADMIN EXPRESS, EVENTSADMIN CORPORATE, EVENTSADMIN ACADEMIA, NOETIK, EMAILMANAGER, HORECABOOKING, HORECA BOOKING, PHOTOPICK. Any use of these assets is prohibited without the express prior written consent of EventsAdmin. In no event may any such assets be used in connection with any product or service that is not the EventsAdmin, in any matter likely to cause confusion as to the source of the product or service or in any matter that discredits, disparages or misrepresents EventsAdmin. All other trademarks, trade names, brand names or logos appearing on this Website are the property of their respective owners.

18. General

18.1 Choice of Law

This TOS and the provision of the Services to you are governed by the laws of Greece and the European Union.

18.2 Headings

The section titles in this TOS are for convenience only and have no legal or contractual effect.
